HNB Investment Banking – Terms and Conditions

 

1. Introduction

Welcome to HNB Investment Banking. By accessing our website or using our services, you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, please do not proceed.

 

2. Eligibility & Scope

• Services are available to individuals and entities eligible under Sri Lankan law.
• The website and its content are intended for users in Sri Lanka only; out-of-jurisdiction use is at your own risk.

 

3. Use of Website & Services

• You must comply with applicable laws.
• You agree not to misuse the website—for example, by interfering with security or engaging in unauthorized data extraction (sc.com, bankofceylon.co.uk).
• We may record communications for training and compliance.

 

4. Service Engagement

• Each service (e.g., M&A advisory, capital markets support) is governed by a separate Engagement Letter.
• In case of conflict, the Engagement Letter prevails (sc.com).

 

5. Fees & Payments

• Fees will be specified in the Engagement Letter.
• You will reimburse out-of-pocket costs, exclusive of applicable taxes.
• We may set off owed amounts from any sums we owe you (janashakthifinance.lk, sc.com, bankofceylon.co.uk).

 

6. Confidentiality

• Both parties must maintain confidentiality of sensitive information.
• HNB Investment Banking may share data with affiliates or service providers under similar confidentiality obligations.
• Disclosures required by law or regulators are exempt.

 

7. Conflicts of Interest

• We maintain policies to identify, disclose, and manage conflicts in your best interest.

 

8. Liability & Indemnity

• We will perform services with reasonable care. Our liability is limited to direct losses caused by our gross negligence or willful misconduct.
• We are not liable for indirect, consequential, or lost profits.
• You agree to indemnify us against third-party claims due to your breach of these Terms.

 

9. Termination

• Either party may terminate services per the Engagement Letter or by written notice.
• Upon termination, fees and costs incurred up to the date remain payable.
• Confidentiality obligations survive termination.

 

10. Governing Law & Jurisdiction

• These Terms are governed by Sri Lankan law.
• Disputes will be resolved by courts in Colombo (or as mutually agreed).

 

11. Amendments

• We may update these Terms at any time.
• Changes take effect upon posting; we may notify you directly or via website announcements.

 

12. Notices

• All notices will be provided electronically (e.g., via email) or by registered mail to the address in the Engagement Letter.

 

13. General Provisions

• Severability: Invalid provisions do not affect the remainder.
• No Waiver: Failing to enforce a right doesn’t waive it.
• Entire Agreement: Together with the Engagement Letter, these Terms form the complete agreement.
